The agreement between you and Troy when you use the platform — your subscription, your data, and how we both hold up our end.

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Customer") and Fashqua Holdings LLC, doing business as Troy ("Troy," "we," "us," or "our"), located at 875 Industrial Hwy, Unit 8, Cinnaminson, NJ 08057, United States. They govern your access to and use of the Troy website at meettroy.ai and the Troy application and related services (together, the "Service").
By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using Troy on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
You must be at least 18 years old and able to form a binding contract to use the Service. Troy is a business product and is not intended for personal, family, or household use.
Troy is an all-in-one operating platform that may include modules for leads and sales pipeline, quotes and invoicing, an AI assistant, marketing, scheduling, projects, team chat, rep management, a knowledge base, reporting, payroll and time clock, roles and permissions, and an operations suite (inventory, fulfillment, pick lists, receivings, dropship, logistics, freight, and support). Which modules you can access depends on your plan (see §4). We may add, change, or remove features over time.
New workspaces begin with a 3-day free trial that unlocks the full platform so you can migrate data, set up your team, and evaluate Troy. A valid payment method is required to start the trial. No charge is made during the trial; when the trial ends, your subscription begins automatically and your payment method is charged for the plan you selected, unless you cancel before the trial ends. If you cancel during the trial, you are not charged, access to paid features is paused, and your data is retained as described in §6 and our Privacy Policy.
Paid plans are offered on a monthly or annual subscription, with feature access and user (seat) limits that vary by tier. Current plans, prices, included modules, and seat limits are shown on our pricing page and apply as displayed at the time you subscribe. Plan tiers determine which modules are available to your workspace; some modules are available only on higher tiers.
Features and limits are governed by what your plan actually provides in the app. Where marketing materials and the in-product experience differ, the in-product entitlements and the plan you purchased control.
You can cancel anytime from your account settings. When you cancel, your subscription remains active through the end of the current billing period, and you are not charged again. We do not provide prorated refunds for partial periods unless required by law. The 3-day trial means you can evaluate Troy fully before your first charge — cancel before the trial ends and you pay nothing.
As between you and Troy, you own the data you and your users put into the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. We act as a processor of Customer Data and as a controller of account information, as described in our Privacy Policy.

The Service includes an AI assistant that sends the prompts you submit to our AI provider (Anthropic) to generate responses. AI output may be inaccurate or incomplete; it is provided to assist, not to replace your professional judgment, and you are responsible for reviewing it before relying on it. We do not use your Customer Data to train AI models. Assistant usage may be metered and subject to plan limits or token credits.
The Service relies on third-party providers (for example, Supabase, Netlify, Anthropic, Resend, and Stripe) and may let you connect your own third-party tools through webhooks or integrations. Your use of third-party services is governed by their terms, and we are not responsible for them. If you configure outbound webhooks or integrations, you are responsible for the destinations you send data to.
The Service, including its software, design, and content (excluding Customer Data), is owned by Troy and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, solely for your internal business purposes. All rights not expressly granted are reserved. Feedback you provide may be used by us without obligation to you.
Each party may access the other's confidential information in connection with the Service. Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to these Terms or the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
You agree to defend, indemnify, and hold harmless Troy and Fashqua Holdings LLC from claims, damages, and reasonable costs arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service, with notice where practicable. On termination, your right to use the Service ends; sections that by their nature should survive (for example, data ownership, IP, disclaimers, liability limits, and dispute terms) will survive.
We may modify the Service and may update these Terms from time to time. When changes are material, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use after changes take effect constitutes acceptance. If you do not agree to updated Terms, your remedy is to stop using the Service and cancel.
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The state and federal courts located in New Jersey will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to their jurisdiction and venue. Nothing here limits either party's ability to seek injunctive relief for misuse of intellectual property or confidential information.
